Terms of Service

These Terms of Service ("Terms") govern your access to and use of Helm, a laboratory information management system provided by Sampliq Health Technologies Limited ("Sampliq", "we", "us", or "our"). By creating an account or using Helm, you agree to these Terms. If you do not agree, do not use the service.

Helm is a cloud-based laboratory information system designed for diagnostic laboratories in Nigeria. The service includes patient registration, test ordering, result entry, report generation, billing management, and related features accessed via web browser at helmlims.com and its subdomains.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice. We will not suspend paid accounts without cause during an active billing period.

You must be at least 18 years old and authorised to act on behalf of a registered diagnostic laboratory or healthcare organisation in Nigeria to create an account. You are responsible for maintaining the security of your account credentials. Notify us immediately at legal@helmlims.com if you suspect unauthorised access.

One account is provisioned per laboratory workspace. You may invite additional staff users within the limits of your plan. Each user must have a unique email address.

Helm is offered on a subscription basis. Current plans are:

• Starter Lab - NGN 40,000 for 3 months, NGN 75,000 for 6 months, or NGN 140,000 per year.
• Growth Lab - NGN 70,000 for 3 months, NGN 135,000 for 6 months, or NGN 250,000 per year.
• Scale / Hospital Plan - custom quote for hospitals, larger labs, multi-branch setup, migration, training, or special workflow needs.

All payments are processed in Nigerian Naira (NGN) via Paystack. Prices are inclusive of applicable taxes unless stated otherwise. We reserve the right to change pricing with 30 days' written notice. Price changes do not apply to your current billing period.

Failure to pay will result in a grace period of 7 days, after which access to the service may be restricted until payment is made.

We offer a 30-day money-back guarantee on all new subscriptions. If you are not satisfied with Helm within the first 30 days of your first paid subscription, contact us at legal@helmlims.com and we will issue a full refund of the amount paid.

Refunds are not available after 30 days, for renewals, or for accounts that have violated these Terms. Refunds are processed within 5-10 business days to the original payment method.

You agree to:

• Use Helm only for lawful laboratory management purposes and in compliance with applicable Nigerian law, including the Medical Laboratory Science Council of Nigeria Act.
• Ensure all patient data entered is collected with appropriate consent from the patient or their guardian.
• Not attempt to gain unauthorised access to other accounts, reverse-engineer, or circumvent any security controls.
• Not upload or transmit malicious software, spam, or any content that violates third-party rights.
• Maintain the confidentiality of patient health information in accordance with applicable professional and legal obligations.

You own your data. All patient records, test results, and laboratory data that you enter into Helm remain your property. Sampliq does not claim any intellectual property rights over your data.

You may export your data at any time from the settings panel. Upon account termination, we will make your data available for export for 30 days, after which it may be permanently deleted. We will not use your patient data for any purpose other than providing and improving the service to you.

Helm and all associated software, designs, trademarks, and content are the exclusive property of Sampliq Health Technologies Limited. Your subscription grants you a limited, non-exclusive, non-transferable licence to access and use the service for your own laboratory operations.

By you: You may cancel your subscription at any time from the billing settings. Your account remains active until the end of your current paid period. No partial refunds are issued for unused time after the 30-day window.

By us: We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or use the service in a way that endangers patient safety or harms other users. We will provide notice where possible.

Helm is provided as a workflow and record-keeping tool. It does not constitute medical advice and does not replace the clinical judgement of a licensed medical laboratory scientist. Sampliq is not liable for any clinical decisions made based on data processed through the service.

To the maximum extent permitted by Nigerian law, Sampliq's total liability for any claim arising from your use of Helm is limited to the amount you paid in the 3 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

We may update these Terms from time to time. We will notify you by email and via an in-app notice at least 14 days before material changes take effect. Your continued use of Helm after the effective date constitutes acceptance of the revised Terms.
